Terms of Service

The service
FlowPrism is a record-keeping tool for independent instructors: it reads calendar data you provide and maintains session, package, and credit records for you. By creating an account you agree to these terms and the Privacy Policy. You must be at least 18 years old and able to form a binding contract to use FlowPrism.
Your account
You are responsible for your account and everything done under it. Keep your sign-in email secure — access to that inbox is access to your account. Notify us promptly of any unauthorized use.
Your responsibility for content
Everything you store in FlowPrism — student names, notes, sessions, prices, expenses — is entered by you, and you are solely responsible for it, including having the right to store it and for its accuracy. FlowPrism records what you tell it; it does not verify your data.
Prohibited uses
- Storing medical diagnoses, health conditions, or other protected health information.
- Storing data you have no right to store, or using the service to violate any law.
- Reselling the service, scraping it, or attempting to access other users' data.
- Interfering with or disrupting the service or its infrastructure.
Not professional advice
FlowPrism is not a tax advisor, accountant, or law firm, and nothing it produces is tax, accounting, or legal advice. Tax-related exports are summaries of records you entered, for you and your advisor to use at your own discretion. Nothing is filed with or reported to the IRS or any authority.
Plans, billing, and changes
The Free plan is available at no charge within its published limits. Pro is billed by Stripe monthly or annually, may start with a free trial, and can be canceled anytime from Settings → Manage billing (you keep Pro until the end of the paid period). Fees already paid are non-refundable except where required by law.
We may change plans, features, limits, and prices as the service evolves. For material changes we will give reasonable advance notice; price changes to an existing subscription take effect at your next renewal after notice. We do not guarantee that any plan, feature, or limit will remain available indefinitely.
Termination
You may stop using FlowPrism and delete your account at any time from Settings. We may suspend or terminate accounts that violate these terms, create risk for us or other users, or after extended inactivity on the Free plan (with notice and an opportunity to export your data). We may also discontinue the service entirely; if we do, we will give at least 30 days' notice and a way to export your data.
Your data
Your data is yours. You can export it anytime and delete your account (and all its data) from Settings. We recommend exporting before deleting — deletion is irreversible.
Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, error-free, or that data will never be lost. Keep your own calendar (the source data) — FlowPrism reads it, it does not replace it — and use the export feature for your own backups.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) FlowPrism, its operator, and its suppliers are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill; and (b) our total aggregate liability for all claims arising out of or relating to the service is limited to the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars ($100). These limits apply regardless of the theory of liability and even if a remedy fails of its essential purpose.
Indemnification
You agree to indemnify and hold harmless FlowPrism and its operator against claims, damages, and expenses (including reasonable attorneys' fees) arising from content you store, your use of the service, or your violation of these terms or applicable law.
Disputes — arbitration and class-action waiver
Any dispute arising out of these terms or the service will be resolved by binding individual arbitration under the rules of the American Arbitration Association, rather than in court, except that either party may bring an individual claim in small-claims court. YOU AND FLOWPRISM EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. You may opt out of this arbitration provision by emailing us within 30 days of first accepting these terms.
Governing law
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. If any provision is found unenforceable, the rest remains in effect. These terms and the Privacy Policy are the entire agreement between you and FlowPrism regarding the service.
Changes and contact
We may update these terms; material changes will be announced in the app or by email, and continued use after the effective date constitutes acceptance. Questions: getflowprism@gmail.com.
